TERMS OF AGREEMENT

1. PARTIES OF AGREEMENT
Parties of this agreement are
1.1.Kauppahuone Meritie Oy (later AXN Data) and
1.2.subscriber using the service (later Subscriber)

2. Product
AXN Data produces services such as web hosting and domain registration services for Subscribers. The subscriber uses the AXN Data service as agreed in this contract.

3. AXN DATA’S RESPONSIBILITIES
AXN Data will deliver the ordered products to the subscriber and also the necessary usernames and passwords to use the products. The delivery of the products will be fulfilled via email or postal mail, whichever subscriber has chosen and an invoice will be attached. AXN Data will deliver authentication data only to the contact address provided by the subscriber or to the administrative email listed in the global whois database. The maximum compensation AXN Data is responsible to pay for negligence caused is equivalent to two months service fees. AXN Data will not compensate any indirect damages or damages caused to third partys.

AXN Data is not responsible for misusage of the content or data content hosted. AXN Data is not responsible for information network or other attacks on the Subscriber´s systems or customer information systems, nor for prohibited or illegal use of the Subscriber`s systems or other equal activities. AXN Data is not in any way responsible for damages caused by viruses or equal disturbance.

4. SUBSCRIBER’S RESPONSIBILITIES
The Subscriber is responsible for the use of its usernames and passwords and actions taken with them, whether these are direct or indirect. The Subscriber uses the network at his own responsibility. All services provided by AXN Data may be used only for lawful purposes. Transmission, storage or presentation of any information, data or material in violation of any Finnish law is prohibited. This includes, but is not limited to, copyrighted material, material AXN Data judges to be threatening or obscene or material protected by trade secret or other statute. The Subscriber agrees to indemnify AXN Data and hold it harmless from any claims resulting from the use of the service that damages the Subscriber or any other party.

All pornographic content and sex-related merchandising is prohibited on all AXN Data servers. This includes sites that may infer sexual content or links to adult content elsewhere. AXN Data will be the sole arbiter in determining violations of this provision. Also prohibited are sites that promote any illegal activity or present content that may be damaging to AXN Data servers or any other server on the Internet. Links to such materials are also prohibited. Examples of unacceptable content or links are: Pirated software, Hacker programs or archives, Warez sites Shoutcast IRC or Eggdrop bots.

The Subscriber agrees to request permission to execute larger server side processes, like frequent Crontab or other programs. AXN Data will be the sole arbiter in determining that process and has the right to shut down those processes without further announcement.

5. PAYMENTS
The contract and billing period of services will start when an order is placed. The Subscriber agrees to pay the service fee according to AXN Data´s pricelist in force. The pricelist in force and the terms of agreement are always available at the website of AXN Data. The Subscriber chooses the billing period when placing the order. The payment must be made after the order and services will not be opened before the payment, if not especially agreed otherwise.

If the Subscriber does not pay the full amount of the bill within 14 days from the due date of the bill, AXN Data can deactivate the service(s) of the Subscriber. If the Subscriber still does not pay the bill, AXN Data can terminate the service(s). For the activation of the deactivated service, AXN Data will charge the Subscriber in accordance with the pricelist in force.

The registered domains are the property of AXN Data until the Subscriber has fully paid all fees related to them. If the Subscriber chooses not to pay for the renewal of his domains, AXN Data has no responsibility to renew the Subscriber’s domains. The Subscriber agrees to pay his bills before or on the due date. If the payment is late, AXN Data is entitled to charge penal interest according to Finnish law. Every request for payment sent by AXN Data will add 5 euros to the amount of AXN Data´s bill. AXN Data has the right to transfer unpaid claims to be collected by a third party.

AXN Data reserves the right to alter the prices and price structure of its services. Changes of prices will be effective immediately and they are followed on the Subscriber´s next billing period. Changes in the pricelist will be announced on the website of AXN Data and on the bill of the previous billing period or by separate letter or email.

6. VALIDITY
This contract comes into force on the date stated in the order confirmation. The contract is valid for 12 or 6 months. If the Subscriber does not want to continue the contract, he agrees to denounce the contract at least one (1) month prior to the starting date of a new contract period. If a denouncement is not made, this contract will automatically be renewed for the period chosen in the original contract.

Both parties are free to call off this contract if the other party has failed to follow the terms or conditions stated in this contract. AXN Data is entitled to call off this contract especially if the Subscriber has not paid his bill within 21 days from the due date or if the Subscriber interferes with other web service(s) or uses the network for illegal activity or if the transfer limit is exceeded significantly two months successively.

7. TECHNICAL RESTRICTIONS OF SERVICE
The Subscriber is granted to use the web-hosting service provided by AXN Data. The service description of hosting service defines disk space and transfer limit per month. If the transfer limit is exceeded this will be billed according to AXN Data’s pricelist in force. If the transfer limit is exceeded significantly, AXN Data has the right to deactivate the service for the rest of the month.

8. TRANSFERRING THE CONTRACT
The Subscriber is not allowed to transfer this contract without the permission of AXN Data. AXN reserves the right to transfer this contract to a third party.

9. DISAGREEMENTS
Any disagreements concerning this contract or initiated by it will be solved by the City court in Turku, Finland in accordance with Finnish Law.

10. CHANGES
AXN Data reserves the right to change the prices of services and the terms of agreement.
